Carta Use Cases

We evaluated Carta features, capabilities, and market positioning as an equity, fund, and compliance management platform for private law firms and came across some use cases that highlight how various professional teams rely on Carta platform to tackle their day-to-day work.

Private Companies Managing Complex Valuations And Compliance Reporting

At fast-growing private companies, finance teams spend a lot of time generating valuations, piecing together equity reports, and hunting down audit info, most of it manually. When there’s no system in place, month-end and audits can quickly turn into a mess of spreadsheets and endless email chains. Mistakes slip through and things get delayed. Carta helps finance teams get audit-ready 409A and IFRS 13 valuations, easily model scenarios for sensitivity and dilution, and generate IFRS 2 and ASC 718 expense reports automatically, all straight from the cap table. That means less manual work, faster month-end closes, and an easier time prepping for audits.

Growing Businesses Building Competitive Compensation Packages

HR teams face a real challenge when they have to put together solid compensation packages or back up pay decisions without reliable market data. It’s tough to explain offers, spot unfair pay, or help employees see what their pay is actually worth. That’s where Carta’s ‘Total Compensation’ can help. It gives you real-time wage and equity benchmarks, broken down by job, level, and region. The Employee Scorecard feature flags possible pay equity problems early, before they turn into reasons for people to leave. Moreover, Carta’s HRIS connectors automatically keep employee records in sync with the cap table, so there’s no need for manual double entry.

Law Firms Handling Equity And Compliance For Multiple Clients

Working with startups and private companies often means drowning in partner-level data entry and endless manual tasks like searching for cap table updates, double-checking equity records, and chasing down compliance filings across a bunch of client accounts. It’s easy to lose hours on these tasks, and it pulls attorneys away from the legal work that really matters. In this case, Carta helps law firms keep track of cap tables, valuations, compensation cycles, and liquidity events at every stage, from the company’s launch all the way to IPO. This helps firms stay focused on real client advice, with help from a team that understands legal workflows.

Venture Capital Firms Seeking Real-Time Fund And Portfolio Visibility

When venture capital firms manage multiple funds and portfolio companies, keeping track of everything in real time gets difficult. Data gets scattered everywhere; spreadsheets, emails, disconnected software, and suddenly, reporting slows down. It makes responding to LPs or deciding on investment opportunities tougher than it needs to be. Carta’s AI steps in and keeps an eye on fund activity nonstop, pulling together capital calls, distributions, and financial statements. You get up-to-the-minute IRR, TVPI, and DPI. Investors can just log into an LP Portal to see performance numbers and documents for themselves.

Is Carta Right For You?

Carta is the go-to option for businesses that want to move on from traditional spreadsheets and avoid juggling a bunch of separate tools to manage equity, compensation, and compliance. It helps teams issue shares, run valuations, plan compensation, and keep track of fund and portfolio data in one single platform, avoiding wasting time digging through scattered info.

The software provides a centralized platform for cap tables, valuations, compensation benchmarks, and compliance workflows, thus, reducing reliance on manual, error-prone processes. The platform prioritizes data protection and security, holding certifications such as SOC 1, SOC 2, and ISO 27001, with a stated commitment to never use client data to train internal or external generative AI models.

Carta Features

Cap Table Management

The software allows businesses to issue, track, and manage stock from a single platform, offering founders, workers, and investors real-time visibility into ownership. Carta helps users create employee equity awards, digital certificates, investor dashboards, and protected data rooms to communicate information with stakeholders. Everything updates in real time when shares are issued or ownership changes, so the cap table remains correct without manual maintenance.

SAFE Financings

Users can create, send, and sign SAFEs directly on Carta, using Carta, YC, or custom deal templates. The SAFE insights tool leverages current market data on valuation caps and term distributions to assist founders in negotiating better conditions, and built-in procedures automatically update the cap table after a SAFE is signed. Funds are only issued when they come, with real-time progress notifications throughout the round.

See How It Works
Equity Compliance

The software provides corporations with end-to-end corporate secretarial support by centralizing registrations, certifications, and legal documents in one place that is synced to the cap table. In-app reminders and auto-filled forms make filing easier in countries such as Singapore, the United Kingdom, and Australia, with some forms being filed instantly thanks to direct connections with regulatory agencies. Onboarding managers provide practical counsel to help businesses confidently negotiate audits and compliance milestones.

See How It Works
Valuations

It generates audit-ready IFRS13 and 409A values specific to a company's stage, size, and industry, all powered by proprietary software and decades of finance and accounting expertise. Requesting, managing, and approving values occurs seamlessly within a company's existing Carta strategy, whether for a first report, a yearly update, or a material event. Dedicated analysts evaluate each report, answer questions, and identify hazards to allow businesses to approach audits with assurance.

See How It Works
Financial Reporting

Companies may generate IFRS 2 and ASC 718 compliant stock-based compensation expenditure reports with a few clicks, completely integrated with their cap table data. Reports can be customized to capture specific events such as stock splits and grant re-pricing, eliminating the tedious work often required in spreadsheets. When it comes time for an audit, organizations are provided with a complete packet that includes spending reports, minimum disclosure reports, and an audit guide.

See How It Works
Liquidity

Carta integrates secondary transactions, like tender offers and block trades, directly into corporations' cap tables. Customizable templates, liquidity forecasting tools, and KYC automation allow businesses complete control over buyer selection, transaction terms, and order approval. A dedicated team of liquidity experts assists at every stage, from cap table cleanup to post-transaction management.

See How It Works
Fund Forecasting

Using live market data and real-world benchmarks, fund managers can design models, set reserves, and simulate exit possibilities. The application syncs directly with cap table and fund administration data, so portfolio monitoring and performance predictions are automatically updated without the need for manual entry. To help with fundraising, GPs can use interactive charts and dashboards to tell LPs a clear, data-driven message.

Contracts

Carta Law employs AI-powered redlining to speed NDA and contract review, creating first-pass markups based on a firm's negotiation playbook and historical precedence. Attorneys review all documents before distribution, including buy- and sell-side NDAs, engagement letters, and commercial contracts such as vendor agreements and MSAs. This allows legal teams to manage more deals without increasing manpower while maintaining all contracts consistent with their firm's standards.

Great tool, however one flaw

Pros

I love how I can get updates based on several other clients' compensation data. This helps me remain competitive.

Cons

I would love to see historical data. For example, with existing employees brought in at an IC_ or MGR_ level a couple of years ago, it would be helpful to see where they were placed within the band (XX%ile) when the market was showing that historical data.

Pros

Equity management is simple. I can share data with our Attorneys and Accountants, and quickly pull data and reports for outside Funds and Auditors. The self-serve option portal is great for Employees.

Cons

Some of the nuances are complex, but the software works. It requires some training, but the effort is worth it to keep all my equities in a single ledger.
